Corporate Counsel (6+ Years)

Description:
We are seeking an outstanding attorney with 6+ years of Software Licensing and SaaS experience to join our dynamic Legal team. The successful candidate will be located in Waltham, Massachusetts, reporting to the Director of Legal. The position will be primarily responsible for Supporting Enterprise Sales with the opportunity to expand into other areas based upon experience and company needs. The position requires a team player who can provide careful work product with minimal supervision in a very fast-paced, high-energy environment.

Responsibilities:
  • Review and negotiate complex customer sales contracts, channel partner contracts and professional services agreements that meet the company’s requirements under its policies including those for risk tolerance, while working collaboratively with the business team, including various executives.
  • Identify contractual risks and issues and suggest alternatives that lead to optimal solutions.
  • Liaise with finance, sales operations, support, security and other business units at all levels throughout the organization.
  • Work collaboratively with other members of the legal team and act as escalation point for more junior team members.
Requirements:
  • JD degree from an accredited law school.
  • Current member of a state bar in good standing.
  • 6+ years of experience in the software industry – mix of law firm and in-house preferred.
  • Extensive experience preparing and negotiating SaaS agreements and other technology related agreements.
  • Strong contract and legal negotiation skills with extensive experience working with enterprise customers and supporting enterprise sales teams.
  • Ability to understand complex contractual issues, assess risk and provide concise business-focused legal advice.
  • Good understanding of revenue recognition principals.
  • Self-motivated, with the ability to manage and regularly prioritize workload to meet deadlines and adjust to fluctuations in workload.
  • Possesses a practical, real world, collaborative approach to problem solving in the context of enterprise sales with the ability to make sound decisions and exercise good judgment.
  • Ability to remain flexible in a changing and sometime ambiguous business environment.
  • Excellent oral and written communication skills.
Preferred Qualifications:
  • Familiarity with channel (distributors, resellers) and related practice issues.
  • Experience with US government procurement legal requirements is a plus.
  • Understanding of various US and EU data privacy laws and regulations.
  • Common sense, great judgment and a good sense of humor.
