Before Congress passes another anti-competition provision into law, it should enact a “Federal Rescue Doctrine” to replace in full the FTC’s duty of reasonableness.

The FTC has set up a higher standard for regulating anticompetitive conduct than exists in the United States Code. That is a perniciously dangerous development, one of whose consequences is to make it much more difficult to approve mergers or achieve other narrow objectives that might be in the public interest.

When the FTC gets Washington D.C.’s attention, it is like waving a red flag at a bull. Oh, no one can stop it when it reaches for a hornet’s nest, let alone take it back. Whenever it does, either this is because the D.C. crowd has the administration’s ear, and/or because the incumbent FTC commissioners are not up to holding the line in the face of a relentless two-headed D.C. beast, or both.

Put simply, the FTC’s anti-competitive standards give one party in a deal the power to wage a scorched-earth battle against a rival that engages in a more circumscribed anticompetitive practice.

While the FTC has a vague duty to promote competition, it in effect makes that duty different and even more hostile than it already was in the business community. It strongly favored competition during World War II when firms competed to get government contracts to supply arms and munitions and when antitrust enforcement was mandatory for companies that held and made secret profits from patents. But ever since the FTC’s efforts to reach out a helping hand to the industry were curtailed, its anti-competitive emphasis has grown, and its attitude toward antitrust has become more aggressive.

But passing foul-smelling legislation without powers to enforce it is easy in D.C., and this does not mean that the FTC should abandon all attention to antitrust and policies that protect against harmful monopoly. Rather, it should use its other regulatory powers – it is the merger enforcer, after all – to enforce whatever anticompetitive clauses it adopts.
