I.B.T.C. Place, the company’s corporate headquarters, is located at Walter Carrington Crescent in Lagos’ Victoria Island. A major provider of financial services with its headquarters in South Africa, Stanbic IBTC Holdings is a part of the Standard Bank Group. By assets and earnings, Standard Bank is the largest banking organization in Africa, with operations in 20 African nations and 13 non-African nations.

Overview

In order to comply with the revised regulatory framework advised by the Central Bank of Nigeria, which required banks to either divest from non-core banking financial services or adopt a holdings’ company structure, Stanbic IBTC Holdings PLC was formed in 2012 as a result of the merger between Stanbic Bank Nigeria Limited and IBTC Chartered Bank Plc.

Before the Merger

IBTC Chartered Bank Plc

Atedo N.A. Peterside served as the company’s CEO when Investment Banking & Trust Company Plc (IBTC) was established as an investment bank on February 2, 1989. The Central Bank of Nigeria unveiled its commercial banks’ re-capitalization plan in 2005. This required a minimum capital base of NGN 25 billion for all commercial banks. Due to a CBN directive, Investment Banking and Trust Company (IBTC) merged with Chartered Bank Plc and Regent Bank Plc on December 19, 2005, becoming IBTC Chartered Bank Plc, which was listed on the Nigerian Stock Exchange and had a total asset base of NGN 125 billion.

Stanbic Bank Nigeria Limited

In 1991, Standard Bank Investment Corporation (Stanbic Bank), which had previously purchased ANZ Grindlays Bank’s African operations, established Stanbic Bank Nigeria Limited. A wholly owned subsidiary of Stanbic Africa Holdings Limited (SAHL), the company’s name was eventually changed to Stanbic Bank Nigeria Limited.

The Merger

IBTC Chartered Bank Plc and Stanbic Bank Nigeria Limited amalgamated on September 24, 2007. For Standard Bank, Stanbic Africa Holdings Limited (SAHL) submitted an offer to purchase more IBTC shares in order to get a majority stake in the combined company. As a result, SAHL now holds 50.75% of the company’s shares, compared to 33.33% at the time of the merger. After then, the company changed its name to Stanbic IBTC Holdings Plc and started trading again on the NSE.

Ownership

The following table shows the group’s shareholding in the shares of Stanbic IBTC Holdings, which is listed on the NSE and trades under the ticker name STANBIC.
