Major Legal Services/Westlake, OH

Our client is a Fortune 500 manufacturing company that is seeking to hire an experienced transactional attorney who can provide legal advice in the areas of mergers and acquisitions, securities, integration issues, and general corporate law.

The ideal candidate will have 10-12 years of relevant experience at a law firm or combination law firm/in-house environment and be willing and available to travel domestically and internationally 25-30% of the time.

Primary duties will include:

*Drafting/reviewing letters of intent, term sheets, stock and asset purchase and sale agreements, transition agreements, etc.

*Advising the client on securities issues, trade compliance, product compliance, & executive compensation

* Handling NASDAQ listed company requirements, Sarbanes-Oxley compliance, and public company disclosure related activities as they apply to M&A, financings, divestitures, etc.

Our client is seeking a true business partner who can provide "on point" business analysis and devise innovative solutions that meet this client's needs.

The ability to work in a fast paced environment, prioritize work assignments, and deal with difficult situations in a diplomatic manner, is critical to success in this position.
