Pinney Talfourd advises the founders of Amber House Limited on their sale to Humble Group

Pinney Talfourd was pleased to advise the founder shareholders of Amber House Limited and help them with their sale to Swedish listed corporate Humble Group AB.

Amber House Limited, based in Lewes, East Sussex, is a leading distributor of licensed and own brands primarily in the health and beauty sectors such as Jelly Belly, Reese’s, Mentos and Cheetos.  Distribution is across a variety of retail channels including well known high street retailers and supermarkets including Boots, Primark, Superdrug and Asda.

Building on many years working in the health and beauty sector, co-founders John Kingham and Catherine Bergwerf established Amber House in 2005.  Their company and supporting team grew quickly as they delivered their expertise in product distribution and marketing alongside specialist brand and account management.

The company’s success caught the interest of Humble Group AB, a dynamic and fast growing player in the healthy food and snacks, and sustainable beauty and health sectors.  As a result of the deal, Amber House became part of Humble’s international group of companies in July.

John and Catherine intend to remain in place to continue to drive the business forwards, helped by the synergies and resources now available to it through its new owner.

The sale price was paid partly in cash and partly by the issue of locally traded shares in Humble.

Commenting on the transaction generally, Catherine and John remarked “having never been in a position of selling a company before we were totally reliant on our professional team of advisers. Pinney Talfourd’s specialists were able to take us through and explain each step of the process and its implications in a way that was easy to understand. They were always available to answer our concerns which made us entirely confident in their services. We would not hesitate to recommend them”.

Pinney Talfourd’s team was led by Edward Garston (corporate), who was assisted by Alex Pearce (Employment), Julien Pritchard (Property), and Jack Oliver and Julian Royle (additional corporate support).
