Our client is a boutique, full-service law firm located in an Eastside suburb of Cleveland. They are seeking to hire a commercial transactional associate with at least 5-7 plus years of general corporate and real estate experience.

The ideal candidate will have experience advising clients in the following areas:

*All aspects of real estate acquisition: financing, leasing, sale and restructuring transactions

*Commercial leasing, construction and development with an emphasis on shopping center development and leasing, mixed use development, including office, retail, hotel and parking facilities, medical offices, multi-family and industrial and warehouse development

*Navigating all phases of the administrative and judicial process in zoning and land use issues.

*Drafting all forms of construction contracts, including agreements involving owners, architects, engineers, general contractors, construction managers, subcontractors and materialmen.

*Drafting and negotiating purchase agreements, easements, options and rights of first refusal, big-box retail, office and warehouse leases, commercial loan documents, operating agreements, shareholders' and close corporation agreements, confidentiality agreements and other commercial contracts.

*Advising clients on due diligence matters including resolution of complex title, survey and environmental issues.

*Strategic planning and counselling on Corporate restructuring matters.

*Serving as outside GC for companies that are not ready to hire an internal GC.

The clients of this firm include national real estate development companies, local and regional developers, investors, apartment owners, REITS, real estate brokerage firms, automobile dealers, residential developers and home builders and national and local retail companies.
